JAX Terms of Service
Effective date: August 7, 2026
These Terms of Service ("Terms") are a binding agreement between you and Jacks of All Co. ("JAX," "we," "us"), a Missouri company with its principal place of business at 117 S. Lexington Street, Ste. 100, Harrisonville, MO 64701. They govern your use of the JAX mobile application, website, and related services (together, the "Platform").
By creating an account or using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.
1. What JAX Is (and Is Not)
JAX is a marketplace that connects homeowners ("Homeowners") with independent home-service professionals ("Providers") for services such as plumbing, electrical, HVAC, roofing, exterior work, and general handyman jobs ("Services").
JAX is a platform, not a home-services company. Providers are independent contractors, not employees, agents, or subcontractors of JAX. JAX does not perform Services, does not supervise Providers' work, and is not a party to the service contract formed between a Homeowner and a Provider when a booking is accepted. JAX acts as merchant of record solely for the purpose of processing payment for Services. Merchant-of-record status is a payment-processing role; it does not make JAX a party to the service contract, a provider of the Services, or a guarantor of a Provider's performance.
JAX collects and records certain Provider information as an administrative matter for its own risk-management purposes, which may include copies of trade licenses, certificates of insurance, and background-check results. JAX does not independently audit, verify, or investigate that information beyond receiving it, does not inspect any Provider's work, and makes no representation or warranty as to the competence, safety, workmanship, licensure, insurance status, or fitness of any Provider. You are responsible for satisfying yourself as to any Provider you engage.
2. Eligibility and Accounts
- You must be at least 18 years old and able to form a binding contract.
- You must provide accurate information and keep your account information current. One account may be used as both a Homeowner and a Provider.
- You are responsible for all activity under your account and for keeping your credentials secure.
- You may delete your account at any time from within the app or by contacting us at dev@jacksofallstl.com. Certain records (e.g., completed transactions) may be retained as required by law.
3. How Booking Works
- A Homeowner posts a job describing the work needed and selects up to three time windows.
- Matching Providers (by trade, service area, and availability) are notified and see the request, including the job description and the Homeowner's general area (city/ZIP). Exact street addresses are shared only after a booking is accepted.
- The first Provider to accept a offered time window is booked. Acceptance forms a direct agreement between the Homeowner and that Provider for the Services.
- The Provider documents the job with photos before starting and after completing the work.
- When the work is complete, the Homeowner confirms completion in the app and leaves a rating and review, at which point payment is collected (Section 4).
4. Pricing and Payment (Homeowners)
- Hourly rates. JAX publishes a rate range for each service category. Each Provider sets their own hourly rate within that range. The rate of the Provider you book is displayed to you before you request time windows and does not change for that job.
- Saving a payment method. You must save a payment method before you can book. Nothing is charged, held, or reserved on it when you book or when your Provider starts work.
- Minimum charge. Every dispatched job carries a minimum charge of one hour at your Provider's displayed rate. This applies even if the work takes less than an hour, and if your Provider arrives and cannot get access to the property.
- Billed by actual time; no cap. Above the one-hour minimum, jobs are billed for the actual time worked at your Provider's displayed rate. There is no cap: if a job takes longer, you are billed for the actual time.
- When you pay. When your Provider marks the job complete, we will show you the recorded time and the total and ask you to release payment. Your saved payment method is charged once, at that point, for actual time worked.
- If you don't respond. If you neither release payment nor raise an issue within 48 hours after your Provider marks the job complete, you agree that the billed amount is approved and we will charge your saved payment method. We will remind you before that happens.
- Materials and parts. Any materials or parts required for a job are purchased and billed by the Provider directly to you. Materials are not processed through the Platform, are not included in the amount JAX charges, and are not subject to JAX's platform fee. JAX does not mark up or resell materials. Your agreement to pay for materials is with the Provider.
- JAX is the merchant of record. Payments are processed by Stripe, Inc. under the Stripe Services Agreement. JAX collects payment from the Homeowner and remits the Provider's share, less JAX's platform fee.
- Taxes. Displayed rates exclude taxes. Missouri does not impose sales tax on labor for the repair or improvement of real property, and JAX does not currently collect sales tax on Services billed through the Platform. JAX will collect and remit any tax it is required by law to collect.
- Refunds and billing disputes. If you believe a charge is incorrect or the work was deficient, contact us at dev@jacksofallstl.com within 14 days. We may, at our discretion, issue full or partial refunds, credits, or adjustments, but we are not obligated to do so except where required by law.
- Additional products. Today JAX charges only for services you book through the app, at the rates shown before you book. We may introduce additional products later — for example a paid membership, a subscription plan, home assessments, or other fees. We will not charge you for any new product unless we first show you its price and terms and you affirmatively agree to it.
- How we use your saved payment method. We use your saved payment method only for services you book and the fees described in these Terms at the time you book. Saving a payment method does not enroll you in, or authorize us to charge you for, any product we introduce later.
- Changes to pricing. We may change our rates and fees. Changes are posted in the app and apply only to bookings made after they take effect — the rate shown when you booked a job always governs that job.
- If we introduce recurring charges. Before your first charge under any membership or other recurring plan, we will disclose the price, billing frequency, renewal terms, and how to cancel; obtain your express agreement; email you a receipt for each charge; and provide cancellation in the app that is at least as easy as signing up.
- Home assessments and inspection reports. We may offer or arrange paid home assessments in the future; scope and price will be disclosed before purchase. You may upload an existing inspection report at no charge.
5. Cancellations
- Homeowners may cancel a job at no charge until the Provider is en route. Once your Provider is en route, the one-hour dispatch minimum applies: a late cancellation, or an appointment where your Provider arrives and cannot access the property, is billed at one hour at your Provider's displayed rate. That amount is paid to your Provider net of JAX's platform fee.
- Providers may withdraw from a booking before starting work; the job then reopens to other matching Providers and the Homeowner is notified.
- JAX may cancel any booking for safety, fraud-prevention, or policy reasons.
6. Providers
If you use the Platform as a Provider, your relationship with JAX is governed by the JAX Provider Agreement, which you accept during onboarding and which controls over these Terms in the event of any conflict. Providers are independent businesses. They set their own rates within JAX's published ranges, control how their work is performed, may decline any job, and may perform work for any other customer or platform.
6A. Founding Providers
During our pilot, a limited number of founding Providers may be active on the Platform before JAX has received an active certificate of insurance from them. Founding Providers are restricted to lower-risk work and are identified as such at booking. You will be told before you book whether a Provider is a founding Provider, and you may choose a different Provider at no cost.
7. No Circumvention
Providers agree that, for six months after completing a job originated through JAX, they will not solicit or accept payment outside the Platform from that specific Homeowner for services within the categories JAX offers. This does not apply to (a) customers the Provider served before meeting them through JAX, (b) services outside the categories JAX offers, (c) materials and parts, which are always billed directly by the Provider, or (d) emergency work when the Platform is unavailable. JAX may deactivate Providers who circumvent the Platform. This section imposes no obligation on Homeowners.
8. User Content
- You retain ownership of content you submit (job descriptions, photos, reviews, profile photos). You grant JAX a non-exclusive, worldwide, royalty-free license to host, use, display, and reproduce that content to operate, market, and improve the Platform.
- Reviews must reflect your genuine experience. JAX may remove content that is unlawful, deceptive, harassing, or violates these Terms, but has no obligation to monitor content.
- Job photos (before/after) are shared between the Homeowner and Provider on a job and used for quality and dispute-resolution purposes.
9. Acceptable Use
You agree not to: misrepresent your identity or qualifications; use the Platform for any unlawful purpose; harass, threaten, or discriminate against other users; post false reviews; scrape or reverse-engineer the Platform; interfere with its operation; or attempt to access data or accounts that are not yours.
10. Location Data and Communications
The Platform uses your address and approximate location to match jobs with nearby Providers. Providers' exact addresses are never shown to Homeowners, and Homeowners' street addresses are shared with a Provider only after they accept the booking.
By using the Platform you consent to receive transactional messages about your jobs — booking confirmations, provider arrival, completion, and billing. Marketing and promotional messages are sent only if you separately opt in, and you may withdraw that consent at any time without affecting your account or your service. You can manage notification permissions in your device settings.
11. Third-Party Services
The Platform relies on third-party services, including Stripe (payments), and mapping/geocoding providers. Your use of those features is also subject to the applicable third party's terms. JAX is not responsible for third-party services.
12. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, JAX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. JAX DOES NOT WARRANT THAT SERVICES PERFORMED BY PROVIDERS WILL MEET YOUR EXPECTATIONS, OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE. SERVICES ARE PROVIDED BY INDEPENDENT PROVIDERS, AND ANY CLAIM RELATING TO THE QUALITY OR PERFORMANCE OF SERVICES IS BETWEEN THE HOMEOWNER AND THE PROVIDER.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) JAX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL; AND (B) JAX'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO JAX (OR, FOR PROVIDERS, PLATFORM FEES RETAINED BY JAX FROM YOUR JOBS) IN THE 12 MONTHS BEFORE THE CLAIM, OR (ii) $100. NOTHING IN THIS SECTION LIMITS JAX'S LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY LIABILITY THAT CANNOT BE LIMITED UNDER MISSOURI LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITS MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify and hold harmless JAX and its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Platform, your content, your violation of these Terms, or — for Providers — the Services you perform.
15. Dispute Resolution; Governing Law
These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law rules.
Binding individual arbitration. Except as stated below, any dispute between you and JAX will be resolved by binding arbitration administered by the American Arbitration Association under its applicable Consumer or Commercial Rules, before a single arbitrator, seated in St. Louis County, Missouri. You and JAX each waive any right to bring or participate in a class, collective, or representative action.
Small claims. Either party may bring an individual action in small claims court.
Your right to opt out. You may opt out of this arbitration agreement by emailing dev@jacksofallstl.com within 30 days of first accepting these Terms. Opting out will not affect your account or your use of the Platform in any way.
Any disputes not subject to arbitration will be resolved exclusively in the state or federal courts located in St. Louis County, Missouri, and you consent to their jurisdiction.
16. Suspension and Termination
We may suspend or terminate your access to the Platform at any time for violation of these Terms, fraud, safety concerns, or as required by law. Sections that by their nature should survive (including Sections 4, 7, 8, and 12–15, and any accrued payout obligations under the Provider Agreement) survive termination.
17. Apple App Store
If you downloaded the app from Apple's App Store, the following additional terms apply:
- These Terms are between you and JAX only — not with Apple Inc. ("Apple"). Apple is not responsible for the Platform or its content.
- Your license to use the app is limited to a non-transferable license to use it on Apple-branded devices that you own or control, subject to the App Store Terms of Service (including its Usage Rules).
- JAX, not Apple, is solely responsible for maintenance and support of the app. Apple has no obligation to furnish any maintenance or support.
- In the event of any failure of the app to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) of the app to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
- JAX, not Apple, is responsible for addressing any claims by you or a third party relating to the app, including product-liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims under consumer-protection or similar laws.
- In the event of a third-party claim that the app or your possession and use of it infringes intellectual-property rights, JAX, not Apple, is responsible for the investigation, defense, settlement, and discharge of that claim.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the app or by email before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
